By accessing or using SpendGenie ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service. These Terms apply to all users of SpendGenie, including individuals and organisations ("Customer"). The entity using the Service on behalf of an organisation represents that they have authority to bind that organisation to these Terms.

SpendGenie provides an AI-powered expense management platform, including features such as voice expense logging, receipt scanning, approval workflows, budgeting, and financial reporting. We reserve the right to modify, suspend, or discontinue the Service at any time, with reasonable notice where possible. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

To use SpendGenie, you must create an account. You agree to: Provide accurate, current, and complete information during registration. Keep your login credentials confidential and not share them with unauthorised parties. Notify us immediately of any breach or suspected breach of your account security. Be responsible for all activity that occurs under your account. You must be at least 18 years old to use SpendGenie. By using the Service, you confirm that you meet this requirement.

SpendGenie is offered on a subscription basis. Billing terms: Free trial: New customers may access the Service for a 14-day trial period without payment. Monthly plans: Billed monthly in advance on your billing anniversary date. Annual plans: Billed annually in advance. Annual plans include a discount as specified at the time of purchase. Price changes: We will provide at least 30 days' notice of any price change. Your continued use after the effective date constitutes acceptance. No refunds: Subscription fees are non-refundable except where required by law or as specified in our refund policy.

You agree not to use SpendGenie for any unlawful or prohibited purpose, including: Submitting false or fraudulent expense claims. Violating any applicable law or regulation. Uploading malicious code, viruses, or harmful content. Attempting to gain unauthorised access to our systems. Reverse engineering, decompiling, or disassembling the Service. Using the Service to compete with SpendGenie or build a competing product. We reserve the right to suspend or terminate accounts that violate these terms.

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring that your use of SpendGenie complies with applicable data protection laws, including the UK GDPR and EU GDPR. Customer data: We process customer data only as instructed by you or as necessary to provide the Service. You retain ownership of all data you submit to SpendGenie. Data security: We implement appropriate technical and organisational measures to protect customer data. See our Security page for details.

SpendGenie and its licensors retain all intellectual property rights in the Service, including software, trademarks, logos, and content. These Terms do not grant you any rights in SpendGenie's intellectual property except as expressly stated. You grant SpendGenie a limited, non-exclusive licence to use your data solely to provide and improve the Service, as described in our Privacy Policy.

To the maximum extent permitted by applicable law, SpendGenie's total liability to you for any claims arising from these Terms or your use of the Service will not exceed the amount you paid to SpendGenie in the 12 months preceding the claim. SpendGenie is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, even if we have been advised of the possibility of such damages. Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

SpendGenie provides the Service "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We are committed to 99.9% uptime but do not guarantee it.

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings or by contacting us. We may terminate or suspend your access immediately if you breach these Terms. Upon termination, your right to use the Service ceases. We will retain your data for 30 days following termination, during which you may export it. After 30 days, your data will be permanently deleted.

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

We may update these Terms from time to time. We will notify you of material changes with at least 30 days' notice via email or prominent notice in the platform. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
